THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of the Effective Date by and among SILICON VALLEY BANK, a California corporation (“Bank”), SCICLONE PHARMACEUTICALS INTERNATIONAL LTD., a Cayman Islands exempted company (“SPIL”) and SCICLONE PHARMACEUTICALS INTERNATIONAL CHINA HOLDING LTD., a Cayman Islands exempted company (“SPIL China,” and together with SPIL, collectively, “Borrowers” and each a “Borrower”), provides the terms on which Bank shall lend to Borrowers and Borrowers shall repay Bank.
