THIS AGREEMENT (this “Agreement”) is entered into as of March , 2009 (the “Effective Date”), between NCI Building Systems, Inc., a Delaware corporation (the “Company”), and its wholly-owned subsidiary, NCI Group, Inc., a Nevada corporation (“Employer”), and , a resident of the State of (“Employee”). The Company, Employer and Employee are sometimes hereinafter collectively referred to as the “Parties.”
