This Development and Manufacturing Agreement (“Agreement”) dated November 5, 2008, is entered into by ICOP DIGITAL, INC., a corporation organized and existing under the laws of the State of Kansas with its principal place of business located at 16801 West 116th Street, Lenexa, KS 66219, USA (“ICOP DIGITAL”), and EVERFOCUS ELECTRONICS CORPORATION, a corporation organized and existing under the laws of Taiwan with its principal business address at 12F, No. 79, Sec. 1, Shin-Tai Wu Road, Hsi-Chi, Taipei Hsien, Taiwan, R.O.C.; and at 1801 Highland Ave. Unit A, Duarte, CA 91010 USA (“EVERFOCUS”) and, each of whom is individually referred to as a “Party” and both of whom are sometimes collectively referred to as “Parties.”
