This THIRD AMENDMENT TO CREDIT AGREEMENT (this “Third Amendment”) executed effective as of the 20th of April, 2009 (the “Third Amendment Effective Date”) is among REX ENERGY CORPORATION, a corporation formed under the laws of the State of Delaware (the “Borrower”); KEYBANK NATIONAL ASSOCIATION, as administrative agent for the Lenders (in such capacity, together with its successors, the “Administrative Agent”), and the Lenders signatory hereto.
