THIS AGREEMENT, made and entered into as of this 18th day of September, 2008, by and among KEMPER INVESTORS LIFE INSURANCE COMPANY (the “Company”), an Illinois life insurance company, on its own behalf and on behalf of its separate accounts (the “Accounts”); WANGER ADVISORS TRUST, an open-end management investment company organized under the laws of Delaware (the “Fund”); COLUMBIA WANGER ASSET MANAGEMENT, LLP (the “Adviser”), a Delaware limited liability partnership; and COLUMBIA MANAGEMENT DISTRIBUTORS, INC. (the “Distributor”), a Massachusetts corporation.
