AGREEMENT made as of the 31st day of March 2009, by and between Wintergreen Fund, Inc., a Maryland corporation that acts as an open-end investment company, with its principal office and place of business at 333 Route 46 West, Mountain Lakes, NJ 07046 (the “Client”), and Foreside Fund Services, LLC, a Delaware limited liability company with its principal office and place of business at Three Canal Plaza, Portland, Maine 04101 (“Foreside”).
