This AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT (this “Agreement”) of Lion/Rally Cayman 7 L.P., a Cayman Islands exempted limited partnership (the “Partnership”), is made and entered into April 2009, by and among [Lion/Rally Cayman 8] Limited a Cayman limited liability company (the “General Partner”), Central European Distribution Corporation (the “Original Class A1 Limited Partner” or “CEDC”) and Lion/Rally Cayman 2 (the “Original Class A2 Limited Partner”).
