THIS AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT, dated as of March 2, 2009 (this “Agreement” or this “Loan Agreement”), is by and between SILICON VALLEY BANK (“Bank”), whose address is 3003 Tasman Drive, Santa Clara, California, 95054, and CYPRESS SEMICONDUCTOR CORPORATION (“Borrower”), whose address is 198 Champion Court, Building 6, 3rd Floor, San Jose, California, 95134, amends and restates in its entirety that Loan and Security Agreement between the parties hereto dated as of September 25, 2003, and provides the terms on which Bank will lend to Borrower and Borrower will repay Bank.
