This LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of the Effective Date between SILICON VALLEY BANK, a California banking corporation (“Bank”), and ADEPT TECHNOLOGY, INC., a Delaware corporation (“Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank. The parties agree as follows:

This PLEDGE AGREEMENT dated as of May 1, 2009 (this “Agreement”), is made by ADEPT TECHNOLOGY, INC., a Delaware corporation (“Pledgor”) in favor of SILICON VALLEY BANK (together with its successors, in such capacity, the “Bank”) pursuant to the Loan and Security Agreement, dated as of May 1, 2009 (as amended, restated, supplemented, restructured or otherwise modified, renewed or replaced from time to time, the “Loan Agreement”), by and between Borrower and Bank. All capitalized terms not otherwise defined herein have the meaning given them in the Loan Agreement. Unless otherwise defined herein or in the Loan Agreement, terms defined in Article 9 of the UCC are used herein as defined in Article 9 of the UCC.

This continuing UNCONDITIONAL GUARANTY AND SECURITY AGREEMENT (this “Guaranty”) is entered into as of May 1, 2009, by and among ADEPT TECHNOLOGY INTERNATIONAL, LTD., a California corporation, ADEPT TECHNOLOGY HOLDINGS, INC., a Delaware corporation, ADEPT TECHNOLOGY CANADA HOLDING CO., a Nova Scotia unlimited liability company, and ADEPT TECHNOLOGY CANADA CO., a Nova Scotia unlimited liability company (each, a “Guarantor” and collectively, the “Guarantors”), in favor of SILICON VALLEY BANK (“Bank”). Capitalized terms used but not otherwise defined herein shall have the meanings given them in the Loan Agreement (as defined below).
