THIS RECEIVABLES PURCHASE AGREEMENT (as amended, restated, supplemented or otherwise modified and in effect from time to time, the “Agreement”) is entered into as of March 31, 2009 by and among UNIVISION RECEIVABLES CO., LLC, a Delaware limited liability company (the “Seller”), the financial institutions signatory hereto from time to time as purchasers (the “Purchasers”), THE CIT GROUP/BUSINESS CREDIT, INC., as administrative Agent (the “Administrative Agent”), CIT CAPITAL SECURITIES, LLC, as lead arranger (the “Lead Arranger”) and GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation, as a Purchaser and as agent for the Purchasers hereunder (in such capacity, the “Purchaser Agent”).
