THIS AMENDED AND RESTATED UNITED MILEAGE PLUS PARTICIPATION AGREEMENT (the “Agreement”) is made and entered into and is effective as of the 1st day of, January 2009 (the “Effective Date”), by and between UAL LOYALTY SERVICES, LLC (“ULS”), a Delaware limited liability company having a mailing address of 1200 East Algonquin Road, Elk Grove Township, Illinois 60007, and REWARDS NETWORK ESTABLISHMENT SERVICES INC. (“RN”), a Delaware corporation having its executive offices at Two North Riverside Plaza, Suite 950, Chicago, Illinois 60606. ULS and RN are each referred to herein individually as a “Party” and collectively, as the “Parties.”
