This Amended and Restated Executive Employment Agreement (this “Agreement”), dated as of May 29, 2009, is made by and between Constar International Inc., a Delaware corporation, having its principal offices at One Crown Way, Philadelphia, Pennsylvania 19154 (the “Company”), and David J. Waksman, Esq. (the “Executive”).

This AMENDMENT NO. 2 to CREDIT AGREEMENT, dated as of May 29, 2009 (this “Amendment”), to the Senior Secured Super-Priority Debtor in Possession and Exit Credit Agreement, dated as of December 31, 2008, as amended by Amendment No. 1 dated as of February 10, 2009, (the “Credit Agreement”) among CONSTAR INTERNATIONAL INC., a Delaware corporation (the “Borrower”), the institutions from time to time party thereto as Lenders (the “Lenders”) and CITICORP USA, INC., a Delaware corporation, in its capacity as administrative agent for the Lenders (in such capacity, the “Administrative Agent”), is entered into among the Borrower, the Guarantors, the Administrative Agent and the Lenders party hereto. Capitalized terms used herein and not otherwise defined herein shall have the meanings ascribed to them in the Credit Agreement.
