DECLARATION OF TRUST, dated as of May 27, 2009, between Torchmark Corporation, a Delaware corporation, as sponsor (the “Sponsor”), BNY Mellon Trust of Delaware (formerly known as The Bank of New York (Delaware)), a Delaware banking corporation, as Delaware trustee (the “Delaware Trustee”), and Danny H. Almond, Larry M. Hutchison and Gary L. Coleman, as regular trustees (the “Regular Trustees” and, collectively with the Delaware Trustee, the “Trustees”). The Sponsor and the Trustees hereby agree as follows:

This PREFERRED SECURITIES GUARANTEE AGREEMENT (the “Preferred Securities Guarantee”), dated as of , is executed and delivered by Torchmark Corporation, a Delaware corporation (the “Guarantor”), and The Bank of New York Mellon Trust Company, N.A., as trustee (the “Preferred Guarantee Trustee”), for the benefit of the Holders (as defined herein) from time to time of the Preferred Securities (as defined herein) of Torchmark Capital Trust 2, a Delaware statutory trust (the “Issuer”).
