This Amended and Restated Rights Agreement, dated as of June 18, 2009 (the “Agreement”), between Northwest Pipe Company, an Oregon corporation (the “Company”), and Mellon Investor Services LLC (formerly known as ChaseMellon Shareholder Services, L.L.C., a New Jersey limited liability company (the “Rights Agent”). This Agreement amends and restates in its entirety the Rights Agreement dated as of June 28, 1999 between the Company and ChaseMellon Shareholder Services, L.L.C.
