This INVESTMENT ADVISOR AGREEMENT (the “Agreement”) is effective as of July 6, 2009 by and between STATE STREET BANK AND TRUST COMPANY OF NEW HAMPSHIRE, a trust company organized under the laws of the State of New Hampshire (“State Street”), and SYSTEMATIC FINANCIAL MANAGEMENT, L.P. (the “Advisor”).
