THIS EXECUTIVE RETENTION AGREEMENT (this “Agreement”) dated as of March 19, 2009 is made by and between __________________ (“Executive”) and MICROSEMI CORPORATION, a Delaware corporation (“Company”). This Agreement amends and restates in its entirety that certain Executive Retention Agreement dated November 10, 2008 between the Company and the Executive (the “Prior Agreement”).

THIS AMENDED AND RESTATED AGREEMENT dated as of March 19, 2009 (this “Agreement”) is made by and between James J. Peterson (“Executive”) and MICROSEMI CORPORATION, a Delaware corporation (“Company”). This Agreement amends and restates in its entirety that certain Amended and Restated Agreement by and between the Company and Executive dated as of November 10, 2008 (the “Prior Agreement”).
