This REGISTRATION RIGHTS AGREEMENT, dated July 24, 2009 (the “Agreement”), is entered into by and among SBA Telecommunications, Inc., a Florida corporation (the “Company”), SBA Communications Corporation, a Florida corporation (the “Guarantor”), and the several initial purchasers listed in Schedule 2 hereto (the “Initial Purchasers”).
