THIS SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”), dated as of August 5, 2009 and effective as of January 11, 2008 (the “Effective Date”), by and between IPC The Hospitalist Company, Inc., a Delaware corporation (the “Company”), and DEVRA G. SHAPIRO (“Employee”) amends, restates and supersedes that certain Amended and Restated Employment Agreement dated as of June 12, 2008 and effective as of January 11, 2008 (the “Prior Agreement”), which amended and restated that certain Employment Agreement dated October 1, 2002, between In-Patient Consultants Management, Inc, which is the former name of the Company, and the Employee.
