This AMENDMENT, dated as of August 31, 2009 (the “Amendment”), amends the Rights Agreement, dated as of December 6, 2001 (the “Rights Agreement”), between Soapstone Networks Inc. f/k/a Avici Systems Inc., a Delaware corporation (the “Company”) and Mellon Investor Services LLC, as Rights Agent (the “Rights Agent”). Capitalized terms not defined herein have the definitions assigned to them in Rights Agreement.
