This AMENDMENT NO. 1 (this “Amendment”), dated as of September 30, 2009, amends the Amended and Restated Employment and Non-Competition Agreement dated as of October 8, 2008 and effective as of July 16, 2008 (the “Existing Agreement”) between Addus HealthCare, Inc., an Illinois corporation (the “Company”), and David W. Stasiewicz, an individual domiciled in the State of Illinois (the “Executive”).

This letter agreement constitutes an amendment to the Agreement in accordance with Section 13 of the Agreement. Except as specifically amended by this letter agreement, all other terms and provisions of the Agreement shall remain in full force and effect. Each reference in the Agreement to “this Agreement,” “hereunder,” “hereof,” “herein” or words of like import referring to the Agreement shall mean and be a reference to the Agreement as amended by this letter agreement.
