This ESCROW AGREEMENT (this “Agreement”) is made and entered into as of this 1st day of October, 2009, by and among Arigene Co., Ltd., a corporation organized under the laws of the Republic of Korea (the “Parent”), Trimeris, Inc., a Delaware corporation (the “Company”), and The Bank of New York Mellon, a New York banking corporation, as the Escrow Agent (in such capacity, the “Escrow Agent”).

TENDER AND SUPPORT AGREEMENT (this “Agreement”) dated as of October 2, 2009 among Arigene Co., Ltd., a corporation organized under the laws of the Republic of Korea (the “Parent”), RTM Acquisition Company, a Delaware corporation and a wholly-owned subsidiary of Parent (the “Purchaser”), and certain stockholders and optionholders of Trimeris, Inc., a Delaware corporation (the “Company”), listed on Annex I (each, a “Stockholder”).

(“Trimeris”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Arigene Co., Ltd., a company formed under the laws of the Republic of Korea (the “Parent”), and RTM Acquisition Company, a Delaware corporation and wholly-owned subsidiary of the Parent (the “Purchaser”).
