This FIRST SUPPLEMENTAL INDENTURE, dated as of September 25, 2009 (this “Supplemental Indenture”), is made by and among VERENIUM CORPORATION, a Delaware corporation (the “Company”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, as Trustee (the “Trustee”), under the Indenture referred to herein.
