This Agreement, dated as of September 9, 2009 (the “Agreement”), is entered into by and between XOMA (Bermuda) Ltd., a Bermuda company having its registered office at Clarendon House, 2 Church Street, Hamilton HM CX, Bermuda (“XOMA Bermuda”), XOMA (US) LLC, a Delaware limited liability company having offices at 2910 Seventh Street, Berkeley, California, USA (“XOMA US”) and Genentech, Inc., a Delaware corporation having offices at 1 DNA Way, South San Francisco, California, USA (“GENENTECH”). This Agreement relates to both a Non-Exclusive Genentech License Agreement effective as of December 30, 1998 between XOMA Bermuda and GENENTECH (the “LUCENTIS License Agreement”) and a Collaboration Agreement effective as of April 22, 1996 (as amended by the Amendment thereto dated April 14, 1999), which was subsequently amended and restated in an Amended and Restated Collaboration Agreement dated March 31, 2003, which was subsequently amended and restated in a Second Amended and Restated Collabora
