THIS CHANGE IN CONTROL AGREEMENT is dated this 23rd day of September 2009 (the “Initial Effective Date”), between Provident Financial Services, Inc. (the “Company”), a Delaware corporation, and the holding company of The Provident Bank (the “Bank”), and Christopher Martin (the “Executive”). The Company and the Bank are sometimes collectively referred to as the “Employers”.

This Agreement is dated this 23rd day of September to be effective as of September 1, 2009 (the “Effective Date”), by and between Provident Financial Services, Inc. (the “Company”), a Delaware corporation, and Christopher Martin (“Executive”). References to the “Bank” mean The Provident Bank, a New Jersey chartered savings bank and wholly owned subsidiary of the Company. The Company and the Bank are sometimes collectively referred to as “Employers.”
