THIS OPERATING AGREEMENT (this “Agreement”) of NewPage Port Hawkesbury Holding LLC (the “Company”), dated as of August 21, 2008, by and among NewPage Consolidated Papers Inc., as the initial member of the Company, and any person subsequently admitted to the Company pursuant to this Agreement as set forth on Schedule I to this Agreement (each, a “Member” and collectively, “Members”).
