This STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of November 18, 2009, by and among Birds Eye Holdings, LLC, a Delaware limited liability company (“Seller”), Birds Eye Foods, Inc., a Delaware corporation (the “Company”), and Pinnacle Foods Group LLC, a Delaware limited liability company (“Buyer”).
