This AMENDED AND RESTATED CEO CHANGE IN CONTROL SEVERANCE AGREEMENT (“Agreement”), is dated as of August 20, 2009 (the “Effective Date”) and made by and between Blue Coat Systems, Inc., a Delaware corporation (the “Company”), and (“Employee”), and amends and restates the Executive Change in Control Severance Agreement earlier entered into between the Company and Employee, as of May 1, 2009 (the “Initial Agreement”), in its entirety.
