This Agreement and Plan of Reorganization (the “Agreement”) is made as of October 13, 2009, by and between RS Variable Products Trust, a Massachusetts business trust (the “Trust”), on behalf of its RS Large Cap Alpha VIP Series (the “Acquiring Fund”), and on behalf of its RS Large Cap Value VIP Series (the “Acquired Fund” and, together with the Acquiring Fund, the “Funds,” and each a “Fund”). The capitalized terms used herein shall have the meanings ascribed to them in this Agreement.
