THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”), dated as of December 17, 2009 between James A. Hyde (the “Executive”), NTELOS Inc., a Virginia corporation, and NTELOS Holdings Corp., a Delaware corporation (“Holdings”) (and collectively with NTELOS, Inc., the “Company”) recites and provides as follows:
