CREDIT AGREEMENT dated as of December 18, 2009 (as amended, modified or otherwise supplemented from time to time in accordance with its terms, this “Agreement”), among MONONGAHELA POWER COMPANY, an Ohio Corporation (the “Borrower”), the banks, financial institutions and other institutional lenders listed on the signature pages hereof as the Initial Lenders (the “Initial Lenders”), THE BANK OF NOVA SCOTIA (“Scotia Capital”) and UNION BANK, N.A. (“Union Bank”), as the initial issuing banks for the letters of credit issued or to be issued pursuant to this Agreement (each, in such capacity, an “Initial Issuing Bank” and, together with the Initial Lenders, the “Initial Lender Parties”), and THE BANK OF NOVA SCOTIA, as administrative agent (together with any successor administrative agent appointed pursuant to Article VII, the “Administrative Agent”) for the Lender Parties (as hereinafter defined).
