This Amendment No. 1 to the Amended and Restated Rights Agreement dated as of January 13, 2009 (this “Amendment”) is entered into as of December 22, 2009 (the “Effective Date”), by and between KANA Software, Inc., a Delaware corporation (the “Company”) and Computershare Trust Company, N.A., a federally chartered trust company, as Rights Agent (the “Rights Agent”).
