SUB-INVESTMENT ADVISORY AGREEMENT (the “Agreement”) made this 1st day of June, 2009 by and between ASTON ASSET MANAGEMENT LLC(hereinafter referred to as the “Investment Adviser”) and M.D. SASS INVESTORS SERVICES, INC.
