THIS AGREEMENT, dated and effective as of this 13th day of November, 2009, by and among M Fund, Inc., a corporation organized and existing under the laws of the State of Maryland (the “Fund”), M Financial Investment Advisers, Inc., a corporation organized and existing under the laws of the State of Colorado (the “Adviser”), John Hancock Life Insurance Company (“JHLICO”) (formerly John Hancock Mutual Life Insurance Company) and John Hancock Variable Life Insurance Company (“JHVLICO”), both life insurance companies organized and existing under the laws of the Commonwealth of Massachusetts, John Hancock Life Insurance Company (U.S.A.)
