FIRST AMENDMENT, dated as of December 30, 2009 (this “Amendment”), to (i) the Credit Agreement dated as of March 13, 2009 (as modified by that certain Resignation, Waiver, Consent and Appointment Agreement dated as of March 31, 2009 and by that certain Waiver to Credit Agreement dated as of September 30, 2009, the “Credit Agreement”) among American Apparel, Inc., a corporation organized under the laws of the State of Delaware (the “Borrower”), the Facility Guarantors from time to time party thereto, Wilmington Trust FSB, in its capacity as Administrative Agent and in its capacity as Collateral Agent thereunder, and the Lenders from time to time party thereto; (ii) the Security Agreement (the “Security Agreement”) dated as of March 13, 2009, by and among the Borrower, the Facility Guarantors party thereto and Wilmington Trust FSB, as collateral agent for the benefit of the Credit Parties; (iii) the Intellectual Property Security Agreement (the “Intellectual Property Security Agreement”)
