This Distributor Agreement is entered into as of August 12, 2009 (the “Effective Date”) by MaxLinear, Inc., a Delaware corporation with its principal place of business at 2051 Palomar Airport Road, Suite 100, Carlsbad, CA 92011 (“MaxLinear”), and Lestina International Limited, a Hong Kong corporation with its principal place of business Room 1001, 10/F., Chevalier Commercial Centre, 8 Wang Hoi Road, Kowloon Bay, Hong Kong (“Distributor”).
