This SHAREHOLDERS’ AGREEMENT (as the same may be amended, modified or supplemented from time to time, the “Agreement”), is made and entered into as of this 27th day of January, 2010, by and between Cellu Tissue Holdings, Inc., a Delaware corporation (the “Company”) and Weston Presidio V, L.P., a Delaware limited partnership (“Weston”).
