This Amendment dated as of the 6th day of August ,2009, to the Mutual Fund Custody and Services Agreement effective as of the 26th day of May, 2004 (the “Agreement”) is by and between NORTHWESTERN MUTUAL SERIES FUND, INC. (the “Fund”) and THE BANK OF NEW YORK MELLON (successor by operation of law to Mellon Bank, N.A.) (the “Custodian”).

THIS INVESTMENT SUB-ADVISORY AGREEMENT is made as of this 6th day of August, 2009, to be effective as of the 25th day of September, 2009, by and between Mason Street Advisors, LLC, a Delaware limited liability company (the “Adviser”) and Janus Capital Management LLC, a Delaware limited liability company (the “Sub-Adviser”).

A. fka Chase Manhattan Trust Bank (“Bank”), with a place of business at 4 New York Plaza, New York, NY 10004 and NORTHWESTERN MUTUAL SERIES FUND, INC., a Wisconsin corporation registered under the Investment Company Act of 1940 as an open-end management investment company (“Customer”), with a place of business at 720 East Wisconsin, Milwaukee, WI 53202, is effective as of the 6th day of August, 2009.

(“Custodian”) (the Custodian and each Fund collectively, the “Parties”).
