THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into by and between MEDNAX SERVICES, INC., a Florida corporation (“Employer”) and VIVIAN LOPEZ-BLANCO (“Employee”) effective as of the 1st day of January, 2010.

This Amendment Agreement (the “Amendment”) is made by and among FREDERICK V. MILLER, M.D., MHA, MBA (“Employee”), PEDIATRIX MEDICAL GROUP, INC. (which is to be renamed as MEDNAX SERVICES, INC. in connection with the reorganization described below) (“Prior Employer”) and a newly formed entity, NEW PEDIATRIX MEDICAL GROUP, INC. (which is to be renamed as PEDIATRIX MEDICAL GROUP, INC. in connection with the same reorganization) (“New Employer”).

This Second Amendment Agreement (the “Amendment”) is made by and among MEDNAX SERVICES, INC. (the “Prior Employer”), KARL B. WAGNER (“Employee”), AMERICAN ANESTHESIOLOGY, INC. (“New Employer”), and MEDNAX, INC. (as to the obligations of MEDNAX, Inc. set forth in that certain Amendment Agreement made by and among Prior Employer, Employee and MEDNAX, Inc. effective as of 11:59 p.m. on December 31, 2008 (the “First Amendment Agreement”)).
