This award agreement (the “Agreement”) represents an equity award grant made on July 14, 2009 (the “Grant Date”), by Interactive Data Corporation, a Delaware corporation (the “Company”) to (the “Participant”). The following agreement (the “Agreement”) sets forth the terms regarding the separation of your employment with Interactive Data Corporation (the “Company”) and its subsidiaries, successors, affiliates and assigns (referred to herein collectively with the Company as the “Group”), to be effective as of the date first above written (the “Effective Date”). Provided that you comply with your obligations under this Agreement, and subject to its terms and conditions, the Company will provide you with the separation benefits described below:
