SUPPORT AGREEMENT (this “Agreement”) dated as of March 29, 2010 between Microsemi Corporation, a Delaware corporation (“Parent”), Rabbit Acquisition Corp., an Indiana corporation and wholly-owned subsidiary of Parent (“Purchaser”), and certain shareholders of White Electronic Designs Corporation, an Indiana corporation (the “Company”), listed on Annex I (each, a “Shareholder”), each an owner of Company Shares.
