This LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of the Effective Date is between SILICON VALLEY BANK, a California corporation (“Bank”), with its principal place of business at 3003 Tasman Drive, Santa Clara, California 95054 (FAX 925-227-1842), on the one hand, and BANKS.COM, INC., a Florida corporation (“Parent”), INTERSEARCH CORPORATE SERVICES, INC., a Nevada corporation (“Intersearch”), and DOTTED VENTURES, INC., a Delaware corporation (“Dotted”, and together with Parent and Intersearch, jointly and severally, collectively and individually, referred to herein as “Borrower”), whose address is 222 Kearny Street, Suite 550, San Francisco, California 94108 (FAX ), on the other hand, and provides the terms on which Bank shall lend to Borrower, and Borrower shall repay Bank.
