THIS SEPARATION BENEFIT AGREEMENT (this "Agreement"), is entered into as of March 29 , 2010, by and among Exopack, LLC, a Delaware corporation (the "Company"), CPG Finance, Inc., a Delaware corporation and ultimate parent of the Company ("Parent"), and Scott Ross (the "Employee").
