Rewards Network Inc., a Delaware corporation (the “Company”), hereby grants to [ ] (the “Holder”), as of March 30, 2010 (the “Grant Date”), pursuant to the provisions of the Company’s 2006 Long-Term Incentive Plan (the “Plan”), a restricted stock unit award (the “Award”) with respect to the number of shares determined in Section 3 below of the Company’s Common Stock, $0.02 par value (“Stock”), upon and subject to the restrictions, terms and conditions set forth below.
