THIS AMENDED AND RESTATED ADVISORY AGREEMENT, dated as of January 20, 2010, is between Macquarie CNL Global Income Trust, Inc., a corporation organized under the laws of the State of Maryland (the “Company”), Macquarie CNL Income, LP, a limited partnership organized under the laws of the State of Delaware (the “Operating Partnership”), and Macquarie CNL Global Income Advisors, LLC, a limited liability company organized under the laws of the State of Delaware (the “Advisor”), and amends and restates in its entirety that certain Advisory Agreement by and among the aforementioned parties, dated April 7, 2009.

THIS PARTICIPATING BROKER AGREEMENT (the “Agreement”) is made and entered into as of the day of , 2010, between CNL SECURITIES CORP., a Florida corporation (the “Managing Dealer”), and , a (the “Broker”).

THIS AMENDED AND RESTATED ESCROW AGREEMENT (the “Agreement”) is dated this 8th day of February, 2010, by and among Macquarie CNL Global Income Trust, Inc., a Maryland corporation (the “Company”), UMB Bank, N.A. (the “Escrow Agent”), Boston Financial Data Services, Inc., a Massachusetts corporation (the “Transfer Agent”) and CNL Securities Corp. (the “Managing Dealer”). This Agreement shall be effective as of the effective date of the Company’s registration statement filed with the Securities and Exchange Commission containing the Prospectus (as defined below) (the “Effective Date”). This Agreement replaces in its entirety the escrow agreement between the parties hereto dated January 19, 2010.
