THIS AGREEMENT made and entered into as of November 30, 2001, by and between AXA Premier VIP Trust (“Trust”), an open-end management investment company, on behalf of each of its series specified in Appendix A (“Funds”) and The Equitable Life Assurance Society of the United States, the investment manager for the Trust (“Manager”).
