CREDIT AGREEMENT dated as of April 30, 2010 (as amended, restated, modified or otherwise supplemented from time to time in accordance with its terms, this “Agreement”), among THE POTOMAC EDISON COMPANY, a Maryland and Virginia corporation (the “Borrower”), the banks, financial institutions and other institutional lenders listed on the signature pages hereof as the Initial Lenders (the “Initial Lenders”), COMMERZBANK AG, NEW YORK AND GRAND CAYMAN BRANCHES (“Commerzbank AG”), THE BANK OF NOVA SCOTIA and BNP PARIBAS, as the initial issuing banks for the letters of credit issued or to be issued pursuant to this Agreement (each, in such capacity, an “Initial Issuing Bank” and, together with the Initial Lenders, the “Initial Lender Parties”), and COMMERZBANK AG, as administrative agent (together with any successor administrative agent appointed pursuant to Article VII, the “Administrative Agent”) for the Lender Parties (as hereinafter defined).
