This Restricted Stock Award Agreement (this “Agreement”) has been entered into as of the day of , 200 , between Oak Ridge Financial Services, Inc. (the “Company”), a North Carolina corporation, and (the “Participant”). The Company hereby grants Restricted Stock in accordance with Section 7 of the Company’s Long-Term Stock Incentive Plan (the “Plan”) to the Participant, subject to the terms and conditions of this Agreement.
