Brocade Communications, Inc., a Delaware corporation (the “Company”), proposes to make an offer (the “Exchange Offer”) to exchange all of its outstanding unregistered 6.625% Senior Secured Notes due 2018 and 6.875% Senior Secured Notes due 2020 (the “Old Securities”) for its newly-issued registered 6.625% Senior Secured Notes due 2018 and 6.875% Senior Secured Notes due 2020 (the “New Securities”). The terms and conditions of the Exchange Offer as currently contemplated are set forth in a registration statement on Form S-4 and prospectus (the “Prospectus”) to be filed with the Securities and Exchange Commission proposed to be distributed to all record holders of the Old Securities. The Old Securities and the New Securities are collectively referred to herein as the “Securities”.

This Limited Liability Company Agreement (this “Agreement”) of Foundry Networks, LLC, a Delaware limited liability company (the “Company”), dated as of May 4, 2009, is entered into by Brocade Communications Systems, Inc., a Delaware corporation (“Parent”), who shall be the initial member of the Company.
