This AMENDMENT NO. 2 TO NOTE PURCHASE AGREEMENT (the “Amendment”) is entered into this 18 th day of June, 2010 by and between CDC Corporation, a company organized and existing under the laws of the Cayman Islands (“CDC” or the “Company”) and CDC Delaware Corp., a corporation organized under the laws of the State of Delaware (“CDC Delaware”), all of whom may be collectively referred to herein as the “Parties” or individually as a “Party”.

Pursuant to the CDC Corporation 2005 Stock Incentive Plan (the “Plan”), CDC Corporation, a Cayman Islands company (the “Company”), hereby grants to the Optionee named above an Option to purchase all or any part of the number of Class A Common Shares, par value US$0.00025 per share (the “Common Shares”), of the Company specified above (the “Option Shares”) at the Option Exercise Price per Option Share specified above, subject to the terms and conditions set forth herein and in the Plan. This Option is not intended to qualify and shall not be treated as an “incentive stock option” under Section 422(b) of the U.S. Internal Revenue Code of 1986, as amended from time to time (the “Code”).
