THIS SECOND AMENDED AND RESTATED SERVICES AGREEMENT (the “Agreement”) entered into on April 1, 2010, is between the Federal Home Loan Bank of Atlanta (the “Bank”) and SJG Financial Consultants, LLC, a Georgia limited liability company (“Contractor”).

THIS AGREEMENT (“Agreement”) is effective as of the 1st day of April, 2010 (the “Effective Date”) by and among Federal Home Loan Bank of Atlanta, a corporation organized and existing under the laws of the United States of America (the “Bank”), SJG Financial Consultants, LLC, a Georgia limited liability company (the “Company”), and Steven J. Goldstein (“Goldstein”) (the Company and Goldstein are collectively referred to hereinafter as “Indemnitee”).

This Agreement and Release of All Claims (“Agreement”) is entered into by and between Federal Home Loan Bank of Atlanta, a corporation organized under the laws of the United States, with its principal office and place of business in Atlanta, Georgia (hereinafter “Bank”), and Richard A. Dorfman (hereinafter “Employee”), the parties to this Agreement.
